Farm Seller Agreement

This agreement is between Sunsugar Market and the farm or food producer (“you”) selling through the platform. It works alongside our Terms of Service and Privacy Policy. By listing products for sale you agree to it.

1. The relationship

You are an independent business, not our employee, agent, or partner. You are the seller of record for everything you list: you set the prices, you own the customer promise about what the product is, and the sale is between you and the buyer. Sunsugar Market provides the marketplace and the fulfillment service — we take your packed orders from your stall on market morning, keep them cold, and hand them to buyers who couldn’t make it to the market.

2. What it costs you

Nothing, at launch. No listing fees, no commission, no payment-processing deduction — buyers pay your listed price and you receive 100% of it. Our revenue is the flat fulfillment fee buyers pay ($3 pickup / $10 delivery). If we introduce optional paid tiers later, they will be opt-in with advance notice; the free tier stays free.

3. Eligibility and honest listings

  • You are a real farm or local food producer, hold the licenses and permits your products require, and sell things you grew, raised, or made.
  • Descriptions, photos, and practice claims (“organic,” “no-spray,” “pastured”) must be accurate. Only claim certifications you actually hold.
  • Keep inventory counts real — overselling means cancelling on a buyer.

4. Getting paid

  • Payouts run through Stripe Connect. You’ll create an Express account and complete Stripe’s onboarding (identity and bank details go to Stripe, not to us). Buyers can’t purchase from you until onboarding is complete.
  • Buyers pay in one charge per order; your share is transferred to your Stripe account per order, and Stripe pays out to your bank on its schedule.
  • If an order or line is refunded, the matching amount is reversed from your transfer. The buyer’s fulfillment fee was never yours, so it never comes out of your share.

5. Orders and market-morning fulfillment

  • Orders close at the event’s order deadline; after that, no changes from buyers.
  • After the deadline you get a packing list. Pack each order separately, labeled per order, using the packing standards and totes we provide or approve.
  • Have everything ready at your stall before the market opens — the van collects on a fixed route, and a missed collection is a missed order for your buyer.
  • Be reachable on market morning at the contact info on your farm profile.

6. When you have to cancel

Crops fail and quality calls happen — cancel the affected line before the market rather than packing something you wouldn’t sell face-to-face. The buyer is refunded that line automatically and your transfer is reversed by the same amount. You can also cancel and refund a whole order any time before the van collects it. Frequent cancellations, no-shows at collection, or quality complaints can lead to delisting.

7. Food safety and quality

You are responsible for the safety, quality, handling, and labeling of your products up to van collection, and for complying with the rules that apply to what you sell — Utah Department of Agriculture and Food requirements, Utah’s cottage food / home-consumption rules for processed goods, the FSMA Produce Safety Rule where it applies, and accurate allergen labeling. If you discover a safety problem with something already sold, tell us immediately at orders@sunsugarmarket.com so we can help contact buyers.

8. Taxes

You are responsible for your own income taxes and, unless the law places collection on the marketplace, for any sales tax due on your products. We provide per-event earnings records in your dashboard to make filing straightforward. If Utah’s marketplace-facilitator rules require Sunsugar Market to collect and remit sales tax on your behalf, we’ll handle that mechanically and tell you before it changes anything about your payouts.

9. Your content

You own your farm’s photos, story, posts, and product descriptions. You give us a non-exclusive license to display them on the platform and in Sunsugar Market’s own marketing (a market poster featuring your stand, not a stock-photo database). The license ends for future use when you leave, except where your content is part of existing order records.

10. Buyers’ data

Buyer names, order contents, and messages are shared with you to fulfill orders and answer questions — use them for that, and nothing else. No exporting buyer lists, no unsolicited marketing, no sharing with third parties. Our Privacy Policy is a promise you inherit.

11. Liability

As seller of record you are responsible for claims arising from your products, and you agree to indemnify Sunsugar Market against product-related claims (contamination, mislabeling, allergens, misrepresented practices). We are responsible for the fulfillment leg — cold-chain staging and handoff — from collection to the buyer. Our total liability to you for any claim is limited to the amounts payable to you for the affected orders.

12. Ending the relationship

Either of us can end this agreement at any time. Orders already paid must still be fulfilled or properly cancelled and refunded. We can suspend or delist a farm immediately for safety issues, dishonesty, or repeated fulfillment failures; pending payouts for properly fulfilled orders are always paid.

13. Changes, law, and contact

We’ll email you about material changes to this agreement before they take effect. This agreement is governed by Utah law, with disputes in Salt Lake County courts. Questions first: orders@sunsugarmarket.com.
